1. Acceptance of Terms

By accessing or using the GEOpulse platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). These Terms constitute a legally binding agreement between you and Stratly ("we," "us," or "our"), the company operating GEOpulse.

If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

You may use the Service if you are:

  • At least 18 years of age, or the age of majority in your jurisdiction;
  • A business or legal entity with the authority to enter into binding agreements; and
  • Not prohibited from using the Service under applicable law.

GEOpulse is available to both individuals and businesses worldwide.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information;
  • Keep your login credentials confidential and not share them with third parties;
  • Notify us immediately at hi@trygeopulse.com of any unauthorized use of your account.

You are solely responsible for all activity that occurs under your account. Stratly is not liable for any loss or damage arising from your failure to protect your credentials.

4. Free Trial

GEOpulse may offer a free trial or freemium tier of the Service at its sole discretion. Free trials are subject to the following conditions:

  • A free trial provides limited access to features as specified at the time of sign-up;
  • Stratly reserves the right to modify, suspend, or discontinue free trial access at any time without notice;
  • Upon expiry of a free trial, continued access to paid features requires a paid subscription;
  • Stratly may require payment details prior to starting a free trial. You will not be charged until the trial period ends unless stated otherwise.

5. Subscriptions and Billing

5.1 Subscription Plans

GEOpulse is offered on a subscription basis. Plans are billed either monthly or annually, as selected at the time of purchase. All subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date.

5.2 Pricing

Current pricing for all plans is displayed on the GEOpulse pricing page. Stratly reserves the right to change pricing at any time. Where pricing changes affect your current plan, we will provide at least 30 days' written notice before the change takes effect.

5.3 Automatic Renewal

By subscribing to a paid plan, you authorise Stratly to charge your payment method on a recurring basis at the then-current rate for your plan. You are responsible for ensuring your payment information remains up to date.

5.4 Refunds and Cancellation

All purchases are final. GEOpulse does not offer refunds for any subscription payments once a billing period has commenced.

You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of your current billing period — either the end of the current month (for monthly subscribers) or the end of the current annual term (for annual subscribers). You will retain full access to the Service until that date, after which your account will be downgraded or closed.

No partial refunds or credits are issued for unused time remaining in a billing period.

5.5 Failed Payments

If a payment fails, we may suspend or downgrade your account until payment is successfully processed. You remain responsible for all outstanding amounts.

6. Cancellation and Termination

6.1 Cancellation by You

Cancellation terms are described in detail in Section 5.4 above. To cancel, visit your account dashboard or contact us at hi@trygeopulse.com.

6.2 Termination by Stratly

Stratly reserves the right to suspend or terminate your account at any time, with or without notice, if:

  • You breach any provision of these Terms;
  • We are required to do so by law or regulatory authority;
  • We discontinue the Service, in whole or in part.

6.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Stratly is not liable to you or any third party for any termination of access.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to infringe the intellectual property rights of any third party;
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure;
  • Use automated tools to scrape, crawl, or extract data from the Service beyond what is permitted by your plan;
  • Use the Service to transmit spam, malicious code, or harmful content;
  • Reverse-engineer, decompile, or disassemble any part of the Service;
  • Resell, sublicense, or otherwise commercialise the Service without our prior written consent;
  • Use the Service in any manner that could damage, disable, or impair the platform.

Stratly reserves the right to investigate and take appropriate action, including account suspension or termination, against anyone who violates this section.

8. Intellectual Property

8.1 Stratly's IP

All content, software, technology, trademarks, logos, and materials comprising the Service are the exclusive property of Stratly or its licensors. Nothing in these Terms grants you any ownership rights in the Service or its underlying technology.

8.2 Your Data

You retain full ownership of all brand data, domain information, and other content you submit to the Service ("User Data"). By submitting User Data, you grant Stratly a limited, non-exclusive, royalty-free licence to use, process, and store your User Data solely for the purpose of providing the Service to you.

8.3 Feedback

If you provide Stratly with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, perpetual, irrevocable licence to use such feedback for any purpose without compensation to you.

9. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

Stratly processes data from third-party AI platforms (including ChatGPT, Perplexity, Gemini, Claude, and Grok) solely to provide the Service. Stratly is not affiliated with, endorsed by, or officially connected to any of these platforms.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Stratly does not warrant that:

  • The Service will be uninterrupted, error-free, or secure;
  • Results obtained through the Service will be accurate, complete, or reliable;
  • Any errors in the Service will be corrected.

AI search platform outputs are dynamic and may change at any time. GEOpulse reports reflect data at the time of scanning and do not guarantee future search visibility outcomes.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Stratly and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use of the Service.

In no event shall Stratly's total liability to you for all claims arising under or related to these Terms exceed the total amount paid by you to Stratly in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Stratly and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of or access to the Service;
  • Your violation of these Terms;
  • Your infringement of any third-party right, including intellectual property rights; or
  • Any content or data you submit to the Service.

13. Modifications to the Service and Terms

Stratly reserves the right to modify, suspend, or discontinue any part of the Service at any time. We also reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on the Service.

Your continued use of the Service after any modification to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with applicable Canadian arbitration rules.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.

15. Third-Party Services and Links

The Service may contain links to or integrations with third-party websites, services, or platforms. Stratly is not responsible for the content, privacy practices, or terms of any third-party service. Your interactions with third parties are governed solely by their respective terms and policies.

16. Disclaimer

16.1 Accuracy of AI Scan Results

GEOpulse provides visibility data by scanning third-party AI platforms including ChatGPT, Perplexity, Gemini, Claude, and Grok. While we strive to deliver accurate and up-to-date information, we cannot guarantee the completeness, accuracy, or reliability of any scan results at any given time.

AI search platforms are dynamic systems that update their models, training data, and outputs continuously and without notice. As a result, visibility scores and reports generated by GEOpulse reflect a snapshot at the time of scanning and may not represent current or future outputs from those platforms. Stratly is not responsible for discrepancies arising from changes made by third-party AI platforms after a scan has been completed.

16.2 No Guarantee of Business Outcomes

GEOpulse is an analytics and insights tool. The data, scores, recommendations, and content roadmaps provided through the Service are intended for informational purposes only. Stratly makes no representation or warranty, express or implied, that using GEOpulse will result in improved AI search visibility, increased website traffic, higher brand recognition, greater revenue, or any other specific business outcome.

Results will vary depending on a wide range of factors outside of Stratly's control, including but not limited to the nature of your industry, the competitiveness of your market, the quality of your content, and the evolving behaviour of third-party AI platforms. You are solely responsible for any decisions made based on information provided through the Service.

16.3 No Affiliation with Third-Party AI Platforms

GEOpulse is an independent analytics platform. Stratly is not affiliated with, endorsed by, sponsored by, or officially connected to OpenAI (ChatGPT), Perplexity AI, Google (Gemini), Anthropic (Claude), xAI (Grok), or any other third-party AI platform referenced within the Service. All third-party brand names and trademarks are the property of their respective owners and are used solely for descriptive and identification purposes.

16.4 General

The information and tools provided through GEOpulse are not a substitute for professional marketing, legal, or business advice. Stratly expressly disclaims all liability for any direct, indirect, or consequential loss arising from reliance on any data or recommendations generated by the Service.

17. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Stratly regarding the Service and supersede all prior agreements, representations, and understandings.
